1. Agreement to Terms

By accessing or using the Vigilus Labs website (vigiluslabs.com) and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Description of Services

Vigilus Labs provides enterprise cybersecurity solutions, including but not limited to database activity monitoring (ARGUS), threat detection, and compliance tools. Access to certain features may require registration and payment.

3. User Accounts

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized access
  • You are responsible for all activities under your account

4. Acceptable Use

You agree not to:

  • Use our services for any illegal purpose
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper functioning of our services
  • Resell or redistribute our services without authorization

5. Intellectual Property

All content, features, and functionality of our services are owned by Vigilus Labs Incorporated and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6. Payment Terms

  • Fees are specified in your service agreement or order form
  • Payment is due according to the terms specified
  • All fees are non-refundable unless otherwise stated
  • We may modify pricing with 30 days' notice

7. Service Level Agreement

For enterprise customers, service level commitments are specified in separate agreements. General uptime targets and support response times are documented in our SLA.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our business relationship.

9. Data Protection

We process data in accordance with our Privacy Policy and applicable data protection laws. For enterprise customers, data processing agreements are available upon request.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIGILUS LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Warranty Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Indemnification

You agree to indemnify and hold harmless Vigilus Labs Incorporated and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.

13. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use our services will cease immediately.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

16. Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of any changes by posting the new Terms on this page. Your continued use of our services after such changes constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
